End User License Agreement

1. How Rockxy is licensed

Rockxy is distributed under two separate licenses:

• Open-source core — the core Rockxy application, including all source code published at github.com/RockxyApp/Rockxy, is licensed under the GNU Affero General Public License v3.0 (AGPL-3.0). It is free to use, study, modify, and redistribute under the copyleft terms of that license. This EULA does not apply to the open-source core.
• Pro and Enterprise features — the proprietary features, binaries, license-key infrastructure, and update channels that Rockxy distributes under a paid plan ("Paid Features") are licensed to you only under this EULA. They are not open source. The AGPL-3.0 does not apply to them.

"Rockxy", "we", "us", and "our" refer to the Rockxy project and its maintainers. "You" and "your" refer to the individual or legal entity that purchases a Paid Features license. "Licensed Application" means the Paid Features you have purchased a license for, and any updates we distribute to you under that license.

2. Acceptance

By purchasing, downloading, installing, activating, or using the Licensed Application, you accept this EULA and the Terms of Service. If you do not accept, do not purchase the license; if you have already purchased, do not install or activate the Licensed Application and request a refund under the Fulfillment & Refund Policy. If you accept on behalf of a legal entity, you represent that you have authority to bind that entity.

3. License grant

Subject to your compliance with this EULA and payment of all applicable fees, Rockxy grants you a personal, limited, revocable, non-transferable, non-sublicensable, non-exclusive license to install and use the Licensed Application on the number of devices permitted by the plan you purchased:

• Pro Standard — install and use the Licensed Application on one (1) Mac that you own or control.
• Pro Personal — install and use the Licensed Application on up to two (2) Macs that you own or control, for your personal use.
• Enterprise — install and use the Licensed Application on the number of seats or devices specified in a separate order form or quote. Enterprise purchases may be governed by an additional written agreement that takes precedence over this EULA where it conflicts.

Pro Standard and Pro Personal are one-time perpetual licenses. A perpetual license lets you keep using the last version you were entitled to activate indefinitely, subject to this EULA and the device limits of your plan. Each founding license includes one (1) year of updates and support from purchase. It is not a subscription, it does not auto-renew, and renewal is optional if you want updates or support after the first year. Rockxy reserves all rights not expressly granted in this EULA.

4. License key and activation

After a successful purchase, Lemon Squeezy (our Merchant of Record, see the Fulfillment & Refund Policy) emails you a license key to the address you provided at checkout. You activate the Licensed Application by entering that key inside the Rockxy app. Activation is required for Paid Features.

• Your license key is personal to you. You must not share, publish, resell, or sublicense it.
• You may move your license to a replacement Mac by deactivating the key on the old device first. The app supports deactivation from within the license settings.
• Rockxy may suspend, revoke, or refuse to validate a license key that is being used in a manner that violates this EULA, exceeds the seat count of the plan, or results from a chargeback, reversed payment, or fraud.
• Activation and validation requests are sent to the Lemon Squeezy license API. No other data is transmitted during activation. See the Privacy Policy.

5. Permitted use

Within the seat limits of your plan, you may use the Licensed Application to:

• Debug, inspect, and modify network traffic from applications on devices you own or have explicit authorization to test
• Use all Pro features up to the quotas included in your plan, including automation rules, scripting, and Protobuf inspection
• Receive updates to the Licensed Application for the period included with your plan
• Use the Licensed Application for commercial software development by or on behalf of your employer, within the device limits of the plan

6. Restrictions

You must not, and must not allow any third party to:

• Reverse engineer, decompile, or disassemble the Licensed Application or any proprietary binaries, except to the extent that applicable law prohibits that restriction
• Remove, obscure, or alter any copyright, trademark, or proprietary notice from the Licensed Application
• Resell, lease, rent, sublicense, time-share, or distribute the Licensed Application, the license key, or access to Paid Features
• Circumvent the license activation or key validation mechanism, or use a license key obtained by fraud, chargeback, or unauthorized means
• Use the Licensed Application to intercept, monitor, or capture network traffic on networks or devices you do not own or do not have explicit authorization to debug
• Use the Licensed Application in any way that violates applicable law, including export control and sanctions law
• Build a competing product using the Licensed Application or the Pro features infrastructure

These restrictions apply to the Licensed Application only. The open-source core remains governed by the AGPL-3.0, which is intentionally more permissive.

7. Ownership and intellectual property

Rockxy and its contributors retain all right, title, and interest in the Licensed Application and Paid Features, including all intellectual property rights. Nothing in this EULA transfers ownership to you. The "Rockxy" name, logo, and branding are trademarks of the Rockxy project and are not licensed to you by this EULA or by the AGPL-3.0. You may not use them to endorse, promote, or name derivative products without prior written permission.

8. Free tier, trial, and founding plans

The open-source core of Rockxy is free and fully functional for the use cases documented on the website. Because of that, we do not operate a separate time-limited trial of the Licensed Application. If you want to evaluate Rockxy before purchasing a Paid Features license, use the free open-source release first.

"Founding" plans are a limited, early-supporter offering. Founding Pro plans are one-time perpetual licenses that include one (1) year of updates and support, no subscription, and no automatic renewal. The exact benefits and upgrade path for founding plans are disclosed on the pricing page and on your receipt. Rockxy may close founding pricing at any time; existing founding license holders retain the terms disclosed at their time of purchase.

9. Updates and maintenance

For the included one (1) year update and support window of your founding plan, Rockxy will make commercially reasonable efforts to provide bug fixes, security updates, and new Paid Features through the app's update channel. Updates may be required to keep the Licensed Application functional or compatible with newer versions of macOS. After your update window ends, the Licensed Application will continue to run in its last-updated state for the scope of your license, but new updates, support, and new Paid Features may require an optional renewal. Rockxy does not guarantee any particular feature roadmap.

10. Payments, taxes, and refunds

Payments for the Licensed Application are processed by Lemon Squeezy as our Merchant of Record. Lemon Squeezy collects and remits all applicable sales tax, VAT, and GST on our behalf. Receipts are issued by Lemon Squeezy. Refund eligibility, delivery, and dispute handling are governed by the Fulfillment & Refund Policy and the Terms of Service.

11. Termination

This EULA applies for as long as your license remains valid under this EULA. It terminates automatically if you breach any of its material terms, including the restrictions in Section 6. You may terminate this EULA at any time by uninstalling the Licensed Application and destroying all copies in your possession.

On termination, the license grant in Section 3 ends. You must uninstall the Licensed Application and cease use of Paid Features. Sections 6, 7, 12, 13, 14, 15, 16, 17, and 18 survive termination. Termination for your breach does not entitle you to a refund.

12. Disclaimer of warranties

THE LICENSED APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. ROCKXY DOES NOT WARRANT THAT THE LICENSED APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR WILL MEET YOUR REQUIREMENTS. YOU ASSUME ALL RISK ARISING FROM USE OF THE LICENSED APPLICATION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU; IN THAT CASE, ANY IMPLIED WARRANTIES ARE LIMITED IN DURATION TO THE MAXIMUM EXTENT ALLOWED BY APPLICABLE LAW.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROCKXY, ITS MAINTAINERS, AND ITS CONTRIBUTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THIS EULA OR THE LICENSED APPLICATION, EVEN IF ROCKXY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID TO LEMON SQUEEZY FOR THE LICENSE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT. THESE LIMITATIONS APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

14. Indemnification

You agree to defend, indemnify, and hold harmless Rockxy, its maintainers, and its contributors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Licensed Application in violation of this EULA; (b) your use of Rockxy to intercept or modify traffic on systems you do not own or are not authorized to test; or (c) your violation of any applicable law or third-party right.

15. Export control and sanctions

You represent that you are not located in, and are not a national or resident of, any country subject to comprehensive sanctions administered by the United States, the European Union, the United Kingdom, or the United Nations, and that you are not listed on any restricted-party list maintained by those authorities. You agree not to export, re-export, or transfer the Licensed Application in violation of applicable export control or sanctions law.

16. Privacy

Rockxy's handling of your data under this EULA — including license activation, website analytics, and payment data collected by Lemon Squeezy as Merchant of Record — is described in the Privacy Policy. The Licensed Application does not send telemetry or traffic content to Rockxy. The same local-first architecture that covers the open-source core applies to Paid Features.

17. Governing law and disputes

This EULA is governed by the laws of the jurisdiction in which the primary Rockxy maintainer resides, without regard to its conflict of law rules. The competent courts of that jurisdiction have exclusive jurisdiction over any dispute arising out of or related to this EULA, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

18. Changes to this EULA

We may update this EULA as the Licensed Application evolves. Material changes will be notified by a revised effective date at the top of this page and, where practical, an in-app or email notice to active license holders. Changes apply prospectively — they do not modify the license scope or duration already granted by an earlier version of this EULA for licenses you purchased before the change.

19. Severability and entire agreement

If any provision of this EULA is held unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in full effect. This EULA, together with the Terms of Service, the Privacy Policy, and the Fulfillment & Refund Policy, constitutes the entire agreement between you and Rockxy regarding the Licensed Application, and supersedes all prior communications about that subject. The AGPL-3.0 license is a separate agreement covering the open-source core.
